Terms & Conditions

These terms set out the basis on which Veridyne provides consulting services and how we expect engagements to be conducted. We have written them in plain language where possible. If anything is unclear, please get in touch before proceeding.

01 Definitions

Throughout these Terms, the following words carry the meanings set out below:

"Agreement"
These Terms & Conditions, together with any engagement letter, proposal, or statement of work agreed in writing between the parties.
"We / Us / Our / Veridyne"
Veridyne, an operations and process consulting firm registered in Malaysia and operating from Level 18, Menara Binjai, Jalan Binjai, 50450 Kuala Lumpur.
"Client / You / Your"
The organisation or individual that engages Veridyne for consulting services under this Agreement.
"Services"
The operational consulting activities described in a confirmed engagement, including but not limited to process mapping, operational reviews, and continuous improvement programmes.
"Deliverables"
Documents, process maps, reports, presentations, templates, or other materials produced by Veridyne in the course of an engagement.
"Confidential Information"
Any non-public information disclosed by either party during the engagement, whether oral, written, or observed.

02 Acceptance of Terms

By submitting an enquiry, signing an engagement letter, or proceeding with any paid service, the Client confirms that they have read, understood, and accepted these Terms in full.

The individual accepting on behalf of an organisation warrants that they have authority to bind that organisation to this Agreement. Engagements are available to organisations and individuals who are 18 years of age or older.

If you do not accept these Terms, you should not proceed with an engagement. We are happy to discuss any clause before work begins.

03 Service Description

Veridyne offers business advisory services in the area of operations and process management. Our core service lines are:

  • Process Mapping Workshop — a collaborative session to document and review a single operational process, resulting in a visual map, findings note, and follow-up call.
  • Operational Review & Improvement Plan — a measured review of up to four connected workflows, producing a written report, priority matrix, and team presentation.
  • Continuous Improvement Programme — an extended engagement of three to four months to establish internal review practices, including templates, training, and a formal handover.

Services are delivered primarily to organisations based in Malaysia. Remote or blended delivery may be arranged by mutual agreement. Specific scope, timelines, and deliverables are set out in each engagement's proposal or statement of work.

04 Engagement Process

An engagement formally begins when both parties have agreed in writing on scope, timeline, and fees — typically through an exchange of emails or a signed proposal. Work does not begin until this confirmation is in place.

Changes to the agreed scope requested by the Client after work has started will be discussed and, if accepted, documented in a brief scope-change note. Any adjustment to fees or timelines will be communicated clearly before additional work proceeds.

Veridyne will assign suitably experienced personnel to each engagement. While we aim for continuity, we reserve the right to adjust team composition where necessary, maintaining quality throughout.

05 Client Responsibilities

The quality of our work depends partly on the Client's participation. By engaging Veridyne, the Client agrees to:

  • Provide timely access to relevant staff, documents, and systems as reasonably requested.
  • Designate a named contact who can make or facilitate decisions during the engagement.
  • Review drafts and provide feedback within agreed timeframes so that work is not delayed.
  • Ensure that information provided to us is accurate and complete to the best of the Client's knowledge.
  • Use our Deliverables only for lawful, internal business purposes.

Delays caused by late provision of information, inaccessibility of key staff, or slow review cycles may extend the engagement timeline. In such circumstances, Veridyne will communicate the impact and, where necessary, re-scope timelines or fees.

The Client must not use Veridyne's materials to misrepresent findings, circumvent legal obligations, or in any manner that brings our firm into disrepute.

06 Intellectual Property

Veridyne retains ownership of all methodologies, frameworks, general approaches, and background intellectual property it brings to or develops independently of any engagement.

Upon receipt of full payment for an engagement, Veridyne grants the Client a non-exclusive, non-transferable licence to use the specific Deliverables produced for that engagement for internal operational purposes. This licence does not permit the Client to sub-licence, resell, or otherwise distribute the Deliverables to third parties without our written consent.

The Client retains ownership of all data, documents, and materials it provides to Veridyne. We will not use Client materials for any purpose beyond the agreed engagement.

07 Payment Terms

All fees are quoted and payable in Malaysian Ringgit (MYR). The applicable fee for each engagement is confirmed in the proposal prior to commencement.

Our standard payment schedule is as follows:

  • A deposit of 50% of the agreed fee is due upon confirmation of the engagement.
  • The remaining balance is due within 14 days of delivery of the final Deliverable, or upon completion of the final session, whichever occurs first.

Invoices are issued by email. Payment is accepted by bank transfer to the account details provided on each invoice. We do not hold client funds beyond the engagement period.

If payment is not received within 30 days of the due date, Veridyne may suspend further work until the outstanding amount is settled. Persistent non-payment may result in termination of the engagement under Section 12.

Refund requests will be considered on a case-by-case basis. Where an engagement has not yet commenced, a full refund of the deposit may be issued. Where work is underway, a partial refund may be offered reflecting work not yet performed. We do not offer refunds on the basis of dissatisfaction with outcomes that fall within the agreed scope.

08 Confidentiality

Both parties acknowledge that the engagement may involve access to Confidential Information belonging to the other. Each party agrees to:

  • Hold the other's Confidential Information in reasonable confidence.
  • Use it only for the purposes of the engagement.
  • Not disclose it to third parties without prior written consent, except where required by law.

These obligations persist for a period of three years following the conclusion of an engagement. They do not apply to information that was already in the public domain, independently developed, or lawfully obtained from a third party without restriction.

Veridyne may refer to the Client's name and the general nature of the engagement (without disclosing Confidential Information) in its own marketing materials unless the Client expressly requests otherwise in writing.

09 Disclaimers

Veridyne provides advisory and consulting services based on the information available at the time of the engagement. Our Deliverables represent our professional assessment and recommendations; they are not a warranty of any particular operational outcome.

We do not provide legal, financial, accounting, or regulatory compliance advice. Any general observations that touch on those areas should be reviewed by qualified professionals before action is taken.

The effectiveness of any improvement recommendations depends on factors outside our control, including implementation quality, personnel decisions, and market conditions. We make no representation as to the specific results the Client will achieve following an engagement.

10 Limitation of Liability

To the fullest extent permitted by Malaysian law, Veridyne's total liability to the Client under or in connection with this Agreement — whether in contract, tort, or otherwise — shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim.

Veridyne shall not be liable for any indirect, consequential, or special loss, including but not limited to loss of revenue, loss of profit, loss of anticipated savings, or damage to reputation, even if we were advised of the possibility of such loss.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

In circumstances beyond our reasonable control — including but not limited to natural events, public health emergencies, utility failures, or regulatory actions — Veridyne shall not be liable for failure or delay in performing its obligations. We will notify the Client promptly and work to resume delivery as soon as reasonably practicable.

11 Indemnification

The Client agrees to indemnify and hold harmless Veridyne, its team members, and associates from any claims, losses, costs, or expenses (including reasonable legal fees) arising from:

  • The Client's misuse of Deliverables or breach of these Terms.
  • False or materially misleading information provided to Veridyne during the engagement.
  • The Client's implementation decisions taken on the basis of, but contrary to, Veridyne's recommendations.
  • Any third-party claims arising from the Client's use of the Deliverables.

12 Termination

Either party may terminate an engagement by providing 14 days' written notice. In such a case, the Client shall pay for all work completed up to the termination date, calculated on a pro-rata basis against the agreed fee.

Veridyne may terminate immediately and without notice if the Client materially breaches these Terms and fails to remedy the breach within seven days of being notified, or if the Client becomes insolvent or ceases trading.

Upon termination, Veridyne will deliver any completed Deliverables to the Client (subject to outstanding payment) and each party will return or destroy the other's Confidential Information as requested, save for any retention required by law.

Sections 6, 8, 9, 10, 11, and 13 of these Terms survive the conclusion or termination of any engagement.

13 Dispute Resolution

These Terms are governed by and shall be construed in accordance with the laws of Malaysia. Both parties submit to the non-exclusive jurisdiction of the courts of Malaysia.

Before commencing formal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct discussion between designated representatives. Either party may initiate this process by writing to the other setting out the nature of the concern.

If a dispute is not resolved within 30 days of that notice (or such longer period as agreed), either party may refer the matter to mediation administered by the Asian International Arbitration Centre (AIAC) under its mediation rules, before seeking resolution through the courts.

14 General Provisions

Entire Agreement. These Terms, together with any engagement proposal or statement of work, constitute the entire agreement between the parties and supersede all prior discussions or representations.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.

Waiver. A failure by either party to enforce any right under these Terms shall not constitute a waiver of that right in future.

Assignment. The Client may not assign its rights or obligations under this Agreement without Veridyne's written consent. Veridyne may engage sub-contractors to assist with an engagement while remaining responsible for the quality of Deliverables.

Notices. Formal notices under this Agreement should be sent to the other party's confirmed email address or registered address. Notices are deemed received upon confirmed delivery.

15 Changes to Terms

Veridyne may update these Terms from time to time. When we do, the revised version will be published on our website with an updated "Last Updated" date. We will notify active Clients of material changes by email where practical.

Continued engagement with Veridyne following the publication of revised Terms constitutes acceptance of those Terms for any new engagements. Ongoing engagements in progress at the time of a revision remain governed by the Terms in effect at their start, unless both parties agree otherwise in writing.
